This is an Agreement between you and the service operator, B-Stable.
By using any services provided by B-Stable and its affiliates (hereoff B-Stable, our, we, us), you confirm that you have read, understood and agreed to all of the terms and conditions of B-Stable contained in this agreement. As this is a legally binding contract, please read through this Agreement carefully and related notices before using any of our Services.
By using and accessing our Services, the https://bstable.io , mobile app , or any of subpages affiliated with, originated by, or arranged through B-Stable, the customer, user or visitor accepts. without limitation, all of the terms and conditions herein.
The Terms & Conditions apply to all Customers, Users and Visitors , individuals or entities , or any of their team members, shareholders, representatives, employees, and all other related parties.
This Agreement will govern the use of the Services provided by B-Stable. If you do not agree to any of the terms in this Agreement, or any subsequent modification to this Agreement, you will not be permitted to use our Services. This Agreement will come into effect when you confirm electronically that you agree to it. We recommend that you retain a copy of this Agreement and transaction records.
For the purposes of this Agreement, the following shall mean, in singular or plural:
Account:
Card: means any payment card issued by a financial institution which is supported by VISA or MasterCard that the customer uses in our Services.
Cardholder: means you, who is authorized to use the Card .
Cryptocurrency/crypto: means a digital representation of value or contractual rights that uses a form of distributed ledger technology and can be transferred, stored or traded electronically.
Customer: means you, a natural person or the representative of an entity who is authorized to use the issued card for the use of our Services.
Fiat: means any legal tender
Order: means a request for the Services.
Services: The Services consist of B-Stable performing the following for you:
● Collecting and storing Data;
● Communicating Data to, from and between you, B-Stable and third parties.
Stablecoin: virtual asset whose value is linked to the price of a legal tender through a parity relationship.
Third parties: means to those involved in the cards operations or transactions processing as well as exchange platforms for purchasing cryptocurrencies or stablecoins.
1. Eligibility
1.1 To be eligible to use any of the B-Stable Services, you confirm that you are:
● At least 18 years old
● Have full capacity to enter into legally binding contracts
● You act as principal and not on behalf any thor party
2. Warranties and representations
You agreed you have understood, acknowledged and accepted the following disclaimer:
● You understood the risk of loss in trading or purchasing any cryptocurrency or stablecoin.
● You confirm you are aware that the price or value of cryptocurrency can change rapidly, decrease, and potentially even fall to zero.
● You acknowledge that B-Stable is not responsible for safeguarding or holding your cryptocurrencies, stablecoin, or any private keys or other security information to access our Services.
● You confirm that B-Stable will not be responsible for any loss of Cryptocurrency or stablecoin resulting from theft, loss, or mishandling of private keys or other security information outside its control.
● you understand and acknowledge that we do not warrant that any of the Services available through our Platform are suitable or appropriate for your needs and that you must take your own independent legal and other advice on such Services.
● You will not violate any applicable laws by entering into this Agreement or receiving the Services provided under it.
● You will not provide false, misleading or inaccurate information.
● You will not facilitate any viruses, malware, worms, trojan horses or some other computer programming routines that may damage, corrupt, disrupt, misuse or gain unauthorized access to any data, system information or B-Stable services.
● You will not use an anonymizing proxy; use any, other automatic devices, spider or manual process to copy or monitor our websites without our prior written permission
● You understand and acknowledge that while we make reasonable endeavors to ensure the accuracy of the information that we provide, and which in turn, is provided to you, neither we nor any of our directors, employees or agents make any representation or warranty, express or implied, as to the accuracy or completeness of such information.
● You shall provide all assistance reasonably requested by B-Stable to enable B-Stable to comply with its obligations under this Agreement.
● B-Stable makes no representation or warranty that the Services are applicable or appropriate for use by Customers in all jurisdictions and it is your responsibility to ensure compliance with the laws of any relevant jurisdiction of your residence.
3. Stored card details
3.1 We are legally obligated to secure your consent to allow us to store your card details for future use and cannot process your payment before you agree to such storing. By accepting this Agreement, you hereby give us permission to do so.
3.2 Your card will remain stored for transactional purposes, unless you decide to remove it, or until the card expires. For legal purposes, we will continue to store records of your transactions in accordance with our Privacy Policy. Stored details are primarily used so that you don’t have to re-enter all your details for every transaction you make. In the Platform you will see the last 4 digits of the card number, and this forms the reference for you to reference the correct card you wish to use.
4. Purchasing Transactions
4.1 The Services allow you to send and receive Data with respect to a Transaction to, from and between us, and exchange platforms. The Service will show you the price at an exchange offering to buy crypto. Such price is data of the exchange that the Service merely communicates to you, without any guarantee of its accuracy. You may then use the Services to inform the exchange of the amount of cryptocurrency or stablecoin you wish to purchase, provide your information about the amount of cryptocurrency or stablecoin you wish to purchase and provide your payment information.
4.2 B-Stable is not a party to Exchange Terms and has no liability to you or any third party under any of them. B-Stable does not itself purchase or sell any Crypto. B-Stable does not take possession or control of Transaction crypto, stablecoin or Fiat. All Purchasing Transactions take place between you and an Exchange. If you have used B-Stable to provide your card payment Data so that the Exchange can take a payment from you or make a payment to you and such payment succeeds or fails, you do not receive the corresponding crypto or stablecoin that you have agreed to purchase under the Transaction, B-Stable shall have no liability to you for such outcomes and you shall look to only the Exchange for recovery. If you are entitled to a refund from an Exchange for a given Transaction, you shall look only to that third party for such refund and not to B-Stable. If your payment method for crypto or stablecoin does not work or is declined by Exchange or other, B-Stable is not liable for such failures and shall have no duty to extend credit to you or cause any third party to complete any Transaction.
5. Cancellations and refunds
● Once you have placed an Order has been made it cannot be canceled or recalled.
● All Orders are final and cannot be refunded.
● You hereby agree that upon delivery, you will not be entitled to any credit or refund and all purchases and sales of cryptocurrency or stablecoin are final.
6. Third Parties
6.1 The Service may be accessible through or linked to independent third parties. You acknowledge that B-Stable has no control over other third parties, and further acknowledge and agree that B-Stable is not responsible for the availability of third party’s services, and does not endorse and is not responsible or liable for and makes no representations as to any aspect of such third parties, including, without limitation, any goods, services, content, advertisements, products, or any materials available from them, compliance with legal requirements, the manner in which the third parties processes personal data or any interaction between you and such third parties.
6.2 You shall read all third parties Terms and only accept them if you agree with them, and, if you use any other third party’s services, such third party services shall be governed solely by the terms and conditions and privacy policies of such third parties.
7. Fees
7.1 All fees payable under this Agreement are displayed prior to the purchase of cryptocurrencies or stablecoin by using the Services, and shall be paid in the applicable fiat currency. Please note, our fees are made clear to you at the moment of purchase, and on this point you will be asked to confirm that you are clear about the fee and that in proceeding you agree to the fee prior to B-Stable executing the order.
7.2 B-Stable reserves the right to pursue any financial losses suffered due to you filing a chargeback procedure with your financial institution. These can include administration fees levied by the card issuer, card schemes, card payment systems as well as the monetary value of the cryptocurrencies or stablecoins.
8. Taxes
8.1 You are responsible for determining whether, and to what extent, any taxes apply to any transactions associated with these Services, You must withhold, collect, report and remit the correct amounts of taxes to the appropriate tax authorities.
9. Data Protection Law
9.1 We are committed to keeping your personal information safe. We process personal information in accordance with applicable data protection legislation. Please read our privacy policy to understand how we use and protect the information you provide us.
10. Liability
10.1 Neither B-Stable, nor any of its directors, employees or agents, shall be liable for any loss or damage sustained by you as a direct or indirect result of the provision by B-Stable of its Services, including, but not limited to:
● Losses of profits, goodwill, usage or data or any other intangible losses
● Use or failure to use the B-Stable or any Service
● Unauthorized use of your card, card payment data or unauthorized alteration of your data by third parties; or
● Your misunderstanding of the B-Stable or any Service;
● In no event shall B-Stable be liable for any failure or delay of service resulting from regular network maintenance or external factors such as power failure, natural disaster, service provider-side problems or governmental acts.
● Losses or damages caused by human error or by failures in the systems or platforms of third parties
10.2 B-Stable disclaims all liability associated with the use of cryptocurrency or stablecoins, including:
● Unknown inherent technical defects;
● Regulatory or legislative changes; and
● Currency fluctuation.
10.3 B-Stable shall not bear any liability for any damage or interruptions caused by any computer viruses, spyware, scareware, Trojan horses, worms or other malware that may affect your computer or other equipment, or any phishing, spoofing or other attack. It is your responsibility to use a reputable and readily available virus screening and prevention software.
10.4 B-Stable does not endorse any entity, product or services provided by third parties integrated or linked to our Services or made available in connection with the services, including any exchange platforms.
11. Amendments
11.1 B-Stable may change the Terms from time to time, at its sole discretion and without any notice, including the Privacy Policy. Therefore, you are requested to familiarize yourself with the Terms and Privacy Policy each time you use the Service. However, in the event that the Terms are amended to comply with legal requirements, to enhance security, or they do not otherwise result in a reduction in Service features, such amendments shall take effect immediately and without any prior notice.
12. Termination
12.1 At any time, B-Stable may block your access to the Service or terminate these Terms, for any reason, at its sole discretion, in addition to any other remedies that may be available to B-Stable under any applicable law.
12.2 Additionally, B-Stable may at any time, at its sole discretion, cease the operation of the Service or any part thereof, temporarily or permanently, without giving any prior notice. You agree and acknowledge that B-Stable does not assume any responsibility or liability with respect to, or in connection with the termination of the Service and/or loss of any data.
12.3 You may terminate these Terms at any time for any reason or for no reason.
12.4 No termination of these Terms shall reduce any of your liabilities which accrued prior to such termination
13. Dispute Resolution
13.1 Any disputes arising out of or in connection with this User Agreement or the Terms & Conditions or otherwise through the use of the B-Stable or any Services, shall be governed by the laws of () .
13.2 B-Stable reserves the right to settle issues and disputes in whichever manner and forum it deems suitable.
13.3 Customers, Users and Visitors , agree to bear the costs arising from the process of dispute resolution.
14. Indemnification
14.1 You agree to indemnify and hold harmless B-Stable, its affiliates, contractors, licensors, and their respective directors, officers, employees and agents from and against any claims and damages (including attorneys costs; fees, fines or penalties imposed by any regulatory authority) arising out of your breach or our enforcement of this Agreement. The above-mentioned indemnity shall also apply to any violation of any applicable law, regulation, or rights of any third party during your use of the Services.
15. Intellectual Property Rights
15.1 The Service is protected by copyright, trade secret and other Intellectual Property Rights. B-Stable owns the title, copyright and other worldwide Intellectual Property Rights in the Service. Nothing in this Agreement grants you any right, title or interest in the Service or other software or Intellectual Property Rights of B-Stable. All Intellectual Property Rights relating to the Service and all elements thereof shall be and shall remain the property of B-Stable and its licensors.
